1. Introduction

1.1 These Terms of Service ("Terms") govern your use of the MEDRS medical records management system ("Service", "Website") operated by Viridis Software Solutions Limited ("we", "us", "our").

1.2 By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not use our Service.

1.3 These Terms constitute a legally binding agreement between you and Viridis Software Solutions Limited.

2. Acceptable Use

2.1 You agree to use the Service only for lawful purposes and in accordance with these Terms and applicable laws.

2.2 You agree NOT to:

• Use the Service in any way that violates applicable laws or healthcare data protection requirements
• Upload, store, or transmit any content that is illegal, harmful, or infringes on rights
• Attempt to gain unauthorized access to the Service or other accounts
• Interfere with or disrupt the Service, servers, or networks
• Reverse engineer, decompile, or disassemble any part of the Service

3. Subscription and Payment

3.1 The Service is provided on a subscription basis. By subscribing, you agree to pay subscription fees in accordance with your selected plan.

3.2 Payments are processed securely through GoCardless Direct Debit or other approved payment methods.

3.3 Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

4. Data Ownership

4.1 You retain full ownership of all data, information, and content you upload to or create within the Service ("Your Data").

4.2 You are responsible for the accuracy, completeness, and legality of Your Data.

4.3 You may export Your Data at any time during your subscription period.

5. Limitation of Liability

5.1 The Service is provided "as is" and "as available" without warranties of any kind.

5.2 To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

5.3 Our total liability for any claims shall not exceed the amount you paid us in the 12 months preceding the claim.

6. Termination

6.1 You may terminate your subscription at any time by cancelling through your account settings or contacting support.

6.2 We may terminate or suspend your account immediately if you violate these Terms.

6.3 Upon termination, you have 30 days to export Your Data before it is permanently deleted.

7. Governing Law

7.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.

7.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
